The reality
Most ventures don’t fail on the idea.
They fail on what comes next: the articles of incorporation, the filings, the trademark registered too late, the business plan the bank turns down, the numbers that don’t hold up.
The bank file gets rejected
Inconsistent projections, undocumented collateral, a business plan that doesn’t answer the lender’s criteria.
The trademark is filed too late
The name is already taken, or a third party registers it while you are busy trading. Rebranding costs far more than filing.
Contracts are improvised
No shareholders’ agreement, no terms and conditions, commitments made verbally. Disputes always arrive later, never at a convenient time.
