The people
Every file starts by identifying who is forming the company. It is the simplest part, and yet the one that blocks most often: one shareholder abroad whose document is improperly legalised, and the file waits.

The legal form and the corporate purpose are chosen, not suffered. They drive your tax position, your personal liability and your ability to bring in investors later. They are hard to correct once set.

These questions always come up. Dealing with them calmly, before filing, avoids trade-offs made under pressure — and shareholders’ agreements written after a dispute rather than before one.

The most common mistake
Filing the trade name without checking it is available as a trademark. You can perfectly well register a company under a name a third party has already protected — and find out two years later, once the sign is up and customers are used to it. The prior-art search happens before, and costs a fraction of a forced rebrand.
